Sub- Contractor contract agreement for commercial premises with Killermont Cleaning Ltd
SUBCONTRACTOR AGREEMENT FOR COMMERCIAL PREMISES
1. The Parties.
This Subcontractor Agreement (“Agreement”) made on (DATE ENTERED ABOVE) between a business entity known as Killermont Cleaning Ltd with a mailing address of Meadowbank House, Torrance,Glasgow G64 4EQ ("CONTRACTOR") and 1 individual as the known as (NAME AS ENTERED ABOVE) with a mailing address of (ADDRESS AS ENTERED ABOVE) (“Subcontractor”) both of whom agree as follows:
2. Agreement: The Subcontractor acknowledges that any work performed under this agreement must be in accordance with the latest version agreement(s) made between them and the Contractor that was hired by their client. (“Client”)
3. Services Provided. Contractor agrees to provide all products required to complete the following:
The sub-contractor will be required to perform cleaning/housekeeping services for COMMERCIAL Clients, provided by the contractor to the sub-contractor. The Sub-contractor will be required to work in accordance with the Contractors Company Handbook and all other training documents including any current Government regulations. Hereinafter known as the “Services”.
4. Responsibilities. Costs and responsibility related to the Services shall be as follows:
Materials: All cleaning products provided are specifically provided to the contractors clients. The sub-contractor may transport these products between client premises. All products provided shall be the responsibility of the Contractor. The Sub-contractor is required to use the products in the correct manner. Failure to do so will make the Sub-contractor liable for any damages.
5. Equipment; including, but not limited to vacuums, mops and buckets or other equipment required to carry out Services shall be the responsibility of the Client. The Sub-contractor is required to ensure the equipment used by them is safe as best to their knowledge. The sub-contractor is required to ensure safe working practices are in place at all times whilst working within Clients premises.
6. Travel; costs related to travel to Client locations shall be the responsibility of the Sub-contractor unless by prior agreement with the contractor.
Sub-contractors shall not be liable for any other costs in connection to the Services (“Responsibilities”) unless the sub-contractor has caused damage to the Client or their property or belongings.
7. Attachments; The Contractor may include attachments, such as schedules, or other information to assist the Sub-contractor in the aforementioned Services. Any attachments made, shall be made part of this entire Agreement.
8. Location; The location for the Services to be completed by the Subcontractor shall be determined at a later time by the Contractor
(“Location”) and agreed by the Sub-contractor, prior to any works being completed.
9. Commencement Date; The Subcontractor shall only be permitted to commence the Services when satisfactory completion of the Level 1 Training provided by the Contractor has been completed.
10. Training; The Subcontractor will be required, unless otherwise stated under the terms of this Agreement to complete the Services in accordance with the Contractor training. As a Sub-contractor you are required to only agree to works supplied by the contractor if you are fully capable and compliant by law to undertake such works.
11. Payment; Subcontractors shall be required to submit their hours worked each month on the last date of each calendar month. Payment for works in the amount of £12.80 per worked hour is agreed and shall be made at any time on the 10th day of the following month for all works completed within the previous calendar month. Payment may be delayed should the Sub-contractor fail to provide the necessary hours worked by the last day of each calendar month.
12. The hourly rate of £12.80 per hour for commercial cleans only is offered and agreed by the sub contractor.
13. Hours worked; Payment will be made from the Contractor to the Subcontractor for worked hours agreed with the client. Any additional time used by the Subcontractor, without prior agreement with the Contractor, will be at the expense of the Subcontractor. Hours paid does not extend to time spent travelling to and from Clients properties unless by prior agreement with the Contractor. Any hours claimed by the Subcontractor which have not been worked may result in immediate termination of the agreement and/ or criminal action being taken.
14. Unsatisfactory Services; Payments shall not be made for unsatisfactory Services completed by the Subcontractor where the Client or Contractor has a reasonable reason to withhold payment. The Sub-contractor, may be required to fix any unsatisfactory works at their own expense.
15. Payment Method; Payments shall be made on a monthly basis by bank transfer into the Sub-contractor bank account.
16. No Right to Subcontracting; Subcontractor may not subcontract, either part or in whole, the Services authorized under this Agreement.
17. Insurance; The Contractor shall not require the Subcontractor to have any type of insurance before commencing Services. The Subcontractor will be required to pay the excess amount on the Contractors insurance claim, should the Subcontractor be responsible for damage to the Clients property, belongings or personal injury.
18. Termination of Agreement; Contractor or Subcontractor may, at any time and for any reason, terminate this Agreement with 7 business days notice. In the event the Agreement is terminated, the Subcontractor is required to return all properties belonging to Killermont Cleaning Ltd including Client keys to the registered business address of Meadowbank House, Torrance G64 4EQ. Final payment of Services will be withheld by the Contractor until all properties have been recovered. With-holding clients or Contractors property, including keys at any time during the agreement or termination of the agreement will result in criminal action being taken.
19. Immediate Termination of Agreement; The Contractor may at any time terminate the Agreement to the Sub-contractor with immediate effect, should the actions of the Sub-contractor be detrimental to the Contractors business or their Client.
20. Change Orders; Any alteration or deviation from the Services agreed or any other contractual specification that result in a revision of this Agreement shall be executed and attached to this Agreement as a change order (“Change Order”).
21. Entire Agreement. This Agreement, including training documentation provided by the Contractor represents the entire agreement
between the Contractor and the Subcontractor. This Agreement supersedes any prior written or oral representation, with the exception of agreement number 11, where current hourly rate will remain in place until December 1st 2023.
22. Time; Subcontractor shall provide the Contractor with completed Service information in a form acceptable to the Contractor on the last day of each month worked. Failure to do so may result in delays to payments.
23. Inspection of Services; Subcontractor shall make the Services provided accessible at all times for inspection by the Contractor or
management of the Contractor. Subcontractor assumes full responsibility for Services completed until final acceptance by the Contractor or Client.
24. Confidentiality; Subcontractors are not permitted to discuss, disclose or supply another party with any information they receive about any Client of the Contractor. Any disclosed confidential information may result in criminal proceedings.
25. Change to Services; Should a Client or Sub contractor wish to change any times or dates of Services, the Contractor must be informed and agree to any changes prior to any alterations. The Client and Sub contractor will not be covered by the Contractors insurance, should the change in works not be authorised by the Contractor.
26. Personal data; Subcontractors are not permitted to supply Clients of the Contractor with personal data, such as personal telephone number, email address or social media links for any communications related to the contracts in place with the Contractor.
27. Private Service Agreement; Subcontractors are not permitted to supply cleaning or housekeeping services to Clients of the Contractor on a private basis. This agreement includes supplying Services to previous Clients of the Contractor
within one year of either the Client, Contractor or the Subcontractor terminating the contract agreement.
28. Private Service Agreement Payment; Should the Subcontractor provide private cleaning or housekeeping Services to a Client or previous client of the Contractor within one year of the Contractors Service agreement termination, the
Subcontractor will be liable for payments to the Contractor of the following amounts:
a. Subcontractor placed with Client less than six months - £750.00
b. Subcontractor placed with Client between six months and one year - £550.00
c. Subcontractor placed with client between one year and five years - £450.00
29. Control of Health Hazardous Conditions Declaration (CHHC); Sub-Contractor must agree to the CHHC declaration provided by the Contractor prior to services commencing. The Sub-contractor must adhere to the declaration at all times whilst under this Agreement.
